RapidoRide Technologies, Inc.
1. Terms of Service
This agreement (“Agreement”) is a legally binding contract between you and RapidoRide Technologies, Inc., including its parent companies, subsidiaries, affiliates, officers, directors, and representatives (collectively “RapidoRide,” “we,” “us,” or “our”). It governs your access and use of the RapidoRide mobile applications, websites, technology, and platform (collectively, the “RapidoRide Platform”).
By accessing or using the RapidoRide Platform, you confirm that you have read, understood, and agreed to be bound by this Agreement, including the dispute resolution and arbitration clauses in Section 17. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE RAPIDORIDE PLATFORM OR SERVICES.
If you are accessing or using the RapidoRide Platform on behalf of a business or organization, your use is subject to any contractual terms agreed upon between that entity and RapidoRide.
2. Overview of the RapidoRide Platform
The RapidoRide Platform functions as a technology-based marketplace connecting individuals seeking transportation (“Riders”) with those offering rides (“Drivers”). Collectively, Riders and Drivers are “Users.” Transportation services provided by Drivers are referred to as “Rideshare Services,” whereas services provided by RapidoRide via the platform are “RapidoRide Services.”
RapidoRide may use algorithms to match Riders and Drivers based on several factors including location, estimated time of pickup, destination, user preferences, and regulatory requirements. Once a Rider accepts a Driver’s offer for transportation, a separate agreement is formed between them.
In some markets, Users may also access rental services (e.g., bikes, scooters, cars) or third-party services. These may be governed by additional “Supplemental Agreements.” In case of a conflict between this Agreement and a Supplemental Agreement, this Agreement prevails unless the latter explicitly states otherwise.
3. Updates to the Agreement
We may revise this Agreement at any time. If we do, the updated version will be posted on the RapidoRide Platform, and your continued use after such updates constitutes your acceptance of the changes. Substantial modifications to arbitration provisions do not renew your right to opt out.
4. Eligibility
You must be at least 18 years old and capable of entering into binding legal agreements to use the RapidoRide Platform. If you are under 18, you may only use the Platform with the consent and under the supervision of a parent or legal guardian who assumes full responsibility.
You may not access the RapidoRide Platform if your user account has been suspended or terminated.
5. Fees and Payments
Using RapidoRide or Rideshare Services may incur charges, including but not limited to:
•Service Fees: Charged per ride.
•Prime Time Pricing: Applied during peak hours.
•Wait & Save or Priority Pickup: Riders may choose to pay more for faster pickups or less for flexible options.
•Cancellation/No-Show Fees
•Damage Fees: Up to $200 for damage to the Driver’s vehicle.
•Abuse Fees: Up to $250 for misuse of the Platform.
•Tolls, Airport, and Event Fees
•Tips: Optional and may be paid in cash or through the app.
Cleaning Fee: If a rider causes spills, stains, or other damage to a Driver’s vehicle, a cleaning fee up to $250 may apply. This will be charged to the payment method on file.
No Food or Drink Policy: Eating or drinking in a Driver’s vehicle is not permitted to ensure cleanliness and safety.
Refunds are generally not provided, unless required by applicable law.
You may receive promotional Coupons or discounts. These are non-transferable, cannot be exchanged for cash, and may have expiration dates or other limitations.
RapidoRide may authorize your payment method for an amount before a ride or service. This may appear as a temporary hold or reduction in available balance.
6. Communications
By registering, you consent to receive communications (e.g., service updates, promotions, driver availability) via email or SMS. You may opt out of promotional communications at any time, but service-related communications are essential and cannot be disabled without terminating your account.
7. Your Information
You are responsible for the accuracy of all personal and account information you provide. You grant RapidoRide the right to use this information to operate, manage, and improve our services. You retain ownership of your content, but we may use it to enhance the platform.
8. Promotional Offers & Referral Programs
RapidoRide may offer promotions, referral rewards, or loyalty incentives. These may be changed or terminated at any time. We reserve the right to withhold or remove rewards in cases of suspected fraud or misuse.
9. Restricted Activities
You agree not to:
•Misrepresent your identity
•Violate laws or regulations
•Harass, threaten, or harm others
•Disrupt the RapidoRide Platform or servers
•Post offensive, illegal, or harmful content
•Engage in fraudulent activity
•Discriminate against other Users
•Circumvent safety features
•Share your account without authorization
You must notify us immediately of any unauthorized use of your account.
10. Driver Obligations
Drivers agree to:
1.Hold a valid driver’s license and operate only approved vehicles.
2.Comply with all safety and legal standards.
3.Not solicit street hails or accept cash fares.
4.Not discriminate and accommodate Riders with disabilities.
5.Carry valid vehicle insurance.
6.Pay applicable taxes on earnings.
7.Cooperate in investigations related to complaints or incidents.
8.Submit to background and driving record checks.
11. Confidentiality
Users agree not to use, disclose, or retain any confidential information (e.g., user details, trip data, platform strategies) acquired through the RapidoRide Platform for purposes outside the scope of this Agreement. Exceptions include:
•Information that becomes public through no fault of the user
•Information legally obtained from a third party
•Court orders (with prior notice to RapidoRide, when possible)
12. Inclusivity Commitment
Discrimination of any kind is strictly prohibited. Drivers must:
•Comply with anti-discrimination policies
•Accommodate service animals and assistive devices (e.g., wheelchairs)
•Follow accessibility guidelines and regulations
13. Intellectual Property
RapidoRide owns all rights to its brand, technology, trademarks, and platform content. Users may not copy, distribute, or create derivative works without explicit permission.
Drivers may use RapidoRide-provided decals or materials only for intended purposes and must discontinue their use upon request.
14. Disclaimers and Limitation of Liability
RapidoRide provides the Platform “as is,” without warranties of any kind. We are not liable for:
•User or third-party conduct
•Delays, failures, or interruptions in service
•Indirect, incidental, or consequential damages
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these may not apply in your case.
15. Indemnification
You agree to indemnify and hold RapidoRide harmless from any claims, losses, liabilities, or expenses arising from:
•Your use of the Platform or Services
•Your breach of this Agreement
•Your violation of law or rights of others
16. Termination
You may stop using the Platform at any time. We may suspend or terminate your access for any reason, including breach of this Agreement. Termination does not waive our rights or relieve you of any obligations.
17. Dispute Resolution and Arbitration
By agreeing to these terms, you waive the right to a jury trial or to participate in class actions. All disputes will be resolved through binding arbitration, unless otherwise stated by law.
18. Governing Law
This Agreement is governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada. Any disputes shall be resolved in courts located within this jurisdiction, unless subject to arbitration.
